Terms of Service

v1 beta template. Invoeva is in private beta. These terms cover the beta period and will be replaced with a fully-reviewed agreement before paid plans launch. We'll email active accounts and require re-acceptance before any change that materially affects your rights.

1. Agreement

By creating an account or using Invoeva ("the Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. The Service is operated by IOT LTD, a company registered in Cyprus (registration number HE343300; registered office Mnasiadou 9, 1065 Nicosia, Cyprus) ("Invoeva", "we", "us"). If you don't agree to these Terms, don't use the Service.

2. Beta status — provided "as is"

The Service is offered as a private beta. It is provided as is, without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

  • There are no uptime SLAs during the beta period.
  • We may have outages, may change behaviour without notice, and may require you to re-upload data after migrations.
  • AI extraction is probabilistic. Always review extracted data before posting it to your accounting system.
  • We may suspend or discontinue the Service, in whole or in part, at any time. We'll give reasonable notice before any planned discontinuation.

3. Accounts

  • You must provide accurate registration information and keep it up to date.
  • You're responsible for the activity that happens under your account. Keep your credentials confidential and notify us immediately at hello@invoeva.com if you suspect unauthorised access.
  • You must be at least 16 years old and have authority to bind your organisation if you're signing up on its behalf.

4. Acceptable use

You agree not to:

  • Upload content you don't have the right to upload, or that infringes someone else's rights.
  • Upload malware, executable code disguised as invoices, or files intended to exploit the Service.
  • Attempt to reverse-engineer, scrape, or otherwise circumvent the Service's access controls or rate limits.
  • Use the Service to send spam, phishing, or any unlawful content.
  • Submit personal data of EU/UK data subjects in jurisdictions where we have not yet completed the necessary transfer mechanisms (see the Privacy Policy).

We may suspend accounts that violate these rules and remove the offending content without prior notice.

5. Your content

You retain ownership of the invoices, files, and other content you upload ("Customer Content"). You grant Invoeva a limited, worldwide, royalty-free licence to host, process, and transmit Customer Content solely to provide the Service to you — including sending file contents to our AI sub-processor for extraction.

We do not use Customer Content to train AI models. We do not sell Customer Content. We do not share Customer Content except with the sub-processors disclosed in the Privacy Policy.

6. Fees

The Service is free of charge during the private beta. When paid plans launch we'll publish pricing on /pricing and require explicit acceptance before charging. You can cancel at any time.

7. Termination

You may delete your account at any time from the in-app settings. We may suspend or terminate your account if you breach these Terms, misuse the Service, or for any reason on 30 days' notice during the beta period. Upon termination we'll delete Customer Content within 30 days, subject to legal retention obligations.

8. Limitation of liability

To the maximum extent permitted by law, Invoeva will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service.

Our aggregate liability under these Terms is capped at the fees you paid us in the 12 months preceding the claim — which is $0 during the beta period. Some jurisdictions don't allow these limits; in that case the limits apply only to the extent permitted.

9. Indemnification

You agree to indemnify and hold Invoeva harmless from claims arising out of (a) your breach of these Terms, (b) Customer Content you upload, or (c) your violation of any law or third-party right.

10. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be announced in-product and by email to active accounts at least 14 days before they take effect, except where a shorter notice is required by law or to address a security issue.

11. Governing law

These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles. Disputes will be resolved in the competent courts of Nicosia, Cyprus, except where mandatory consumer-protection law gives you a different forum.
